End-User License Agreement

This End-User License Agreement ("Agreement") is a legal contract between you ("User," "you," or "your") and CoSuite ("CoSuite," "we," "us," or "our") governing your use of the CoSuite application, integration, or service that connects with Intuit products, including but not limited to QuickBooks Online (the "Application").

By installing, accessing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Application.

1. License Grant

CoSuite grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for your internal business purposes, in accordance with this Agreement and any applicable subscription terms.

2. Permitted Use

You may use the Application to connect your authorized Intuit account(s) with CoSuite services for the purpose of managing coworking memberships, billing, invoicing, expense tracking, financial reporting, and related business operations.

3. Restrictions

You agree not to:

  • Copy, modify, distribute, sell, lease, or sublicense any part of the Application;
  • Reverse engineer, decompile, or attempt to extract the source code of the Application;
  • Use the Application in any manner that violates applicable laws or Intuit's terms of service;
  • Use the Application to transmit malicious code, spam, or unauthorized content;
  • Attempt to gain unauthorized access to CoSuite's systems, Intuit's systems, or other users' data;
  • Use the Application to compete with CoSuite or to develop a similar product.

4. Intuit Authorization

The Application connects to Intuit products through Intuit's authorized APIs. Your use of Intuit services through the Application is also governed by Intuit's own terms of service and privacy policies. CoSuite is not affiliated with, endorsed by, or sponsored by Intuit Inc. unless explicitly stated.

5. User Data and Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You represent that you have the authority to connect any Intuit account you authorize through the Application.

6. Intellectual Property

The Application and all related content, features, and functionality are owned by CoSuite and its licensors and are protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any ownership rights in the Application.

7. Updates and Modifications

CoSuite may release updates, patches, or new versions of the Application from time to time. We may also modify or discontinue features at our discretion. Continued use of the Application after changes constitutes acceptance of those changes.

8. Termination

This Agreement remains in effect until terminated. CoSuite may terminate your license at any time if you breach this Agreement. Upon termination, you must cease all use of the Application and disconnect any authorized Intuit accounts.

9. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. COSUITE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSUITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE APPLICATION.

11. Governing Law

This Agreement is governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
